Account Registration

To access certain features of the Services, you may be required to register for an account. When you register, you agree to provide accurate, current, and complete information about yourself. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

We reserve the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, false, or misleading, or if you fail to comply with these Terms.

API Keys and Authentication

When you register for our API services, you will receive an API key. You are responsible for maintaining the confidentiality of your API key and for all activities that occur using your API key. You agree to:

• Keep your API key secure and confidential
• Not share your API key with any third party without our prior written consent
• Immediately notify us of any unauthorized use of your API key or any other breach of security
• Use appropriate security measures to protect your API key

We are not responsible for any loss or damage resulting from unauthorized use of your API key.

Fees and Payment

Certain aspects of the Services may be provided for a fee. You agree to pay all fees in accordance with the pricing and payment terms presented to you for the Services. You agree to provide us with complete and accurate billing information.

If your payment method fails or your account is past due, we may collect fees using other collection mechanisms. You are also responsible for all taxes (excluding taxes based on SupervAIsor's income), which will be added to your account if applicable.

All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law.

API Usage and Rate Limits

Our API is subject to rate limits and usage restrictions. These limits vary based on your subscription plan and are designed to ensure fair usage of our resources. You agree not to exceed or circumvent these rate limits or otherwise abuse our API.

We reserve the right to throttle or block API access that negatively impacts our Services or other users. Excessive or abusive usage may result in temporary or permanent suspension of your API access.

User Content and Conduct

You are solely responsible for your conduct and any content that you submit, post, or display through the Services ("User Content"). You agree that you will not use the Services to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of others
• Submit or transmit harmful, fraudulent, or malicious code
• Send unsolicited communications, promotions, or advertisements
• Impersonate another person or entity
• Interfere with or disrupt the Services or servers or networks connected to the Services
• Collect or store personal data about other users without their express consent
• Generate or facilitate spam, obscene, harmful, or discriminatory content

We have the right to remove any User Content that violates these Terms or that we determine is otherwise objectionable.

Intellectual Property Rights

The Services and their original content, features, and functionality are owned by SupervAIsor and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

By submitting User Content to the Services, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such content in any media or distribution methods.

You represent and warrant that you have all rights, power, and authority necessary to grant the rights granted herein to any User Content that you submit.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SupervAIsor DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

SupervAIsor MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICES.

Limitation of Liability

IN NO EVENT SHALL SupervAIsor, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES
• ANY CONTENT OBTAINED FROM THE SERVICES
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN ANY CASE, SupervAIsor'S AGGREGATE LIABILITY UNDER THESE TERMS SHALL BE LIMITED TO THE AMOUNT YOU PAID US, IF ANY, FOR USE OF THE SERVICES DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

Indemnification

You agree to defend, indemnify, and hold harmless SupervAIsor, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Services
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your User Content caused damage to a third party

This defense and indemnification obligation will survive these Terms and your use of the Services.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

You agree to submit to the personal and exclusive jurisdiction of the courts located in San Francisco County, California for the resolution of any dispute arising from these Terms or your use of the Services.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any significant changes by posting the new Terms on this page and/or sending you an email.

Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Services.
